Michael Eisner

Managing Partner and Chair of the Firm.

The attorneys in the Firm’s Corporate Department have extensive experience representing and advising clients in a broad array of corporate matters. Our clients include financial institutions, private equity funds, high net worth individuals, entrepreneurs, and privately and publicly held companies across multiple industries, including media and entertainment, restaurant and hospitality, fashion and apparel, finance, and energy.

Corporate Finance and Securities

Our attorneys have broad experience representing issuers, investment banks and institutional and individual investors in private placements of debt and equity securities and other exempt transactions. The Firm also represents borrowers and lenders in a wide variety of secured and unsecured financing transactions.

Corporate Governance

Our attorneys act as outside general counsel and actively advise on corporate and securities laws, including fiduciary duty issues, corporate governance and disclosure obligations.
Mergers and Acquisitions Our attorneys have extensive experience on both buy-side and sell-side transactions, including stock sales, asset sales, joint ventures, exchange offers, restructurings, spin-offs, cross-border acquisitions, and other business combination transactions, for both established and emerging businesses.

Private Equity and Start-ups

The Firm represents venture capital and private equity funds and institutional investors, as well as companies seeking financing, in early through late stage capital investments and other transactions, including portfolio investments and acquisitions. Our attorneys also counsel sponsors on investment fund formation.

Distribution and Trademark Licensing

The Firm has broad experience in assisting clients with licensing and technology agreements. Our attorneys also represent licensors and licensees in trademark and other intellectual property licensing.

Fashion, Apparel and Retail

Whether counseling international model management companies or negotiating multi-million dollar licensing deals with major retailers, our attorneys are well known as leaders in the fashion, apparel and retail industries. We regularly handle a wide variety of industry matters, including licensing, distribution, corporate finance and secured transactions, trademark and copyright protection, e-commerce, branded merchandise, advertising and promotion, strategic business relationships and affiliate agreements, as well as apparel production, wholesale and retail sales, and licensing. Our practice includes attorneys considered to be at the forefront of fashion modeling law. They have handled the negotiation of licensing, endorsement and co-branding agreements for both models and designers.

Tax

The Firm has significant experience counseling clients on minimizing federal, state, and local tax liabilities associated with corporate and real estate transactions, including structuring M&A transactions, fund and other entity formations, recapitalizations, bankruptcy and non-bankruptcy workouts, and equity grants to employees.

  • Handled all aspects of representation in the formation and operation of a new nationwide professional basketball league.
  • Represented private equity funds in connection with acquisitions and acquisition financing in a variety of industries, including media, real estate, energy, boutique fitness, fashion, medical supplies, financial institutions, wineries, outdoor recreation, and software.
  • Represented a leading provider of home solar installation, in connection with a $48 Million acquisition by a major private equity company.
  • Represented a major motion picture and television producer’s company in a transaction with both a major owner and operator of television networks and a major studio for the formation of production and branded content company focused on television and digital scripted and unscripted series, branded content and short form entertainment.
  • Represented principals in connection with the formation of a $75 Million real estate co-investment fund.
  • Represented large cannabis fund in connection with multiple private equity investments ranging in size from $2 Million to $70 Million.
  • Represented a major independent entertainment company in connection with a syndicated $160 Million senior secured credit facility with a major bank.
  • Represented bank lenders, investment funds and alternative lenders in connection with the origination of secured and unsecured acquisition loans and other corporate loans and credit facilities.
  • Represented a major international building products conglomerate in connection with a series of acquisition transactions to roll-up regional building products manufacturers and distributors.
  • Advised lead investor in connection with the restructuring and $39.5 Million investment in a premiere independent production and film financing company.
  • Represented seller in connection with $125 Million acquisition of leading cannabis brand.
